1. Acceptance of Terms
By accessing or using the UniCMMS platform, website, mobile application, or any related services (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not access or use the Services.
2. Description of Services
UniCMMS provides a cloud-based Computerized Maintenance Management System (CMMS) that enables organizations to manage assets, work orders, preventive maintenance schedules, inventory, and related workflows. The Services are provided on a subscription basis as described in the applicable pricing plan.
3. Account Registration
To use the Services, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain the security of your account credentials
- Promptly notify us of any unauthorized access to your account
- Be responsible for all activities that occur under your account
- Not share your account with any other person or entity
You must be at least 18 years of age to create an account and use the Services.
4. Subscription Plans and Payment
Access to the Services requires a paid subscription following any applicable free trial period. Subscription fees are billed in advance on a monthly or annual basis, depending on the plan you select.
4.1 Free Trial
UniCMMS offers a 15-day free trial for new customers. No credit card is required to start the trial. At the end of the trial period, you must subscribe to a paid plan to continue using the Services. Accounts that are not converted to a paid plan will be deactivated.
4.2 Billing
By subscribing, you authorize UniCMMS to charge your payment method for the applicable subscription fees. All fees are exclusive of applicable taxes, which will be added where required by law.
4.3 Price Changes
We may change subscription prices with at least 30 days' notice. Price changes will take effect at the start of your next billing cycle.
5. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with our Acceptable Use Policy. You may not:
- Use the Services to violate any applicable law or regulation
- Attempt to gain unauthorized access to any part of the Services
- Upload or transmit malicious code, viruses, or harmful content
- Interfere with or disrupt the integrity or performance of the Services
- Resell or sublicense the Services without our written consent
- Reverse engineer or attempt to extract source code from the Services
6. Intellectual Property
UniCMMS retains all rights, title, and interest in and to the Services, including all intellectual property rights. Nothing in these Terms grants you any right to use our trademarks, logos, or other brand elements without prior written consent.
You retain ownership of all data and content you upload to the Services ("Customer Data"). You grant UniCMMS a limited license to process and store Customer Data solely to provide the Services.
7. Data Privacy and Security
Your use of the Services is subject to our Privacy Policy, which is incorporated into these Terms by reference. We implement industry-standard security measures to protect your data. For details on our data processing practices, please review our Privacy Policy.
8. Availability and Uptime
We strive to maintain high availability of the Services but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance where possible. We are not liable for temporary service unavailability due to circumstances beyond our reasonable control.
9. Limitation of Liability
To the maximum extent permitted by applicable law, UniCMMS and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business interruption.
Our total aggregate liability to you for any claims arising under these Terms shall not exceed the amount paid by you for the Services in the twelve (12) months preceding the claim.
10. Warranty Disclaimer
The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
11. Termination
Either party may terminate the subscription at any time. You may cancel your subscription through your account settings or by contacting us. Upon termination, your access to the Services will cease at the end of the current billing period. We reserve the right to terminate accounts that violate these Terms.
Upon termination, you may export your data for a period of 30 days. After this period, we may delete your data in accordance with our data retention policies.
12. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the jurisdiction in which UniCMMS is incorporated, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration, except where prohibited by law.
13. Modifications to Terms
We may update these Terms from time to time. We will provide at least 30 days' notice of material changes via email or in-app notification. Continued use of the Services after the effective date of changes constitutes acceptance of the updated Terms.
